Board Committees

Our governance framework, supported by a clear division of responsibilities, enables the Board to operate effectively, discharge its duties and provide robust oversight. 

The Board of Directors is assisted by four Principal Committees of the Board which report to it regularly.

The Board reviews membership of these Committees and aims to ensure that undue reliance is not placed on particular Directors. 

The Board has established formal Matters Reserved, and each Board Committee operates under defined Terms of Reference. 

Audit and Compliance Committee

  • Financial reporting, risk and internal controls
  • Oversees the assessment and management of ESG
  • Issues and risks, delegating day-to-day responsibility to the Chief Executive
